Operational note: these Terms are prepared for use of the platform by merchants, restaurateurs and professional operators in the truffle supply chain.
These Terms and Conditions govern use of the Tartufido digital platform by merchants, restaurateurs, professional operators and other parties interested in submitting requests relating to truffle sourcing. Tartufido is a digital service of Kipify S.r.l. Use of the platform constitutes acceptance of these Terms and Conditions.
1. Nature of the service
Tartufido is a software platform that allows the merchant to submit requests relating to truffles sought.
The platform enables collection, organization and forwarding of such requests to truffle hunters, suppliers or other potentially interested supply chain operators.
Tartufido is not an e-commerce site with automatic purchase, not a marketplace with automatic contract conclusion and does not constitute a binding sales price list.
Submitting a request does not automatically entail purchase of the product nor an obligation of supply on the part of Kipify, Tartufido, truffle hunters, suppliers or other operators.
2. Role of Kipify S.r.l.
Kipify S.r.l. provides the software, digital infrastructure and technical-organizational service for collecting, managing and forwarding requests.
Unless otherwise agreed in writing, Kipify does not sell truffles directly, does not purchase truffles on behalf of the merchant, does not act as representative of the merchant, does not act as representative of the truffle hunter or supplier, does not assume direct delivery obligations, does not guarantee conclusion of supply and does not officially certify product origin, quality or compliance.
Any supply, sale or delivery of truffles takes place between the merchant and the truffle hunter, supplier or other operator involved, according to separate agreements between such parties.
3. Submitting a request
The merchant may submit a request indicating, by way of example, truffle type or species, indicative quantity, desired quality or grade, price range, urgency or indicative date and any operational notes.
The merchant is responsible for the correctness, completeness and truthfulness of the data entered.
The request submitted on the platform has merely exploratory and operational value.
The request does not constitute a binding order, irrevocable offer, guaranteed reservation or purchase contract.
4. Forwarding the request
Tartufido may forward the request to one or more truffle hunters, suppliers or supply chain operators.
Forwarding may also take place in partial or anonymized form, without communicating the merchant's identifying data in the preliminary phase.
The merchant's identifying data may be communicated only when necessary to finalize operational contact, confirmation of availability, delivery, invoicing, payment or legal obligations.
Kipify does not guarantee that the request will be forwarded to all potentially available operators nor that one or more operators will accept the request.
5. No guarantee on availability, price, quality, origin or delivery
The merchant acknowledges that truffles are a natural product subject to variable availability, seasonality, quality, size, harvesting area, market conditions and actual availability of truffle hunters or suppliers.
Kipify and Tartufido do not guarantee product availability, actually obtainable quantity, final price, acceptance of the indicated price range, quality, size or storage condition, organoleptic characteristics, geographic origin, actual provenance, delivery times or suitability of the product for the merchant's specific needs.
Price, quantity, quality, delivery, provenance and final conditions must be confirmed case by case between the operationally involved parties.
6. Quotes and price indications
Any quotes, price ranges or economic indications on the platform or communicated through Tartufido have merely indicative and orientational value.
Such indications do not constitute a public offer, contractual proposal, binding price list, price guarantee or sales commitment.
The actual price may vary based on species, quality, size, season, area, quantity, urgency, availability and agreements between the parties.
7. Product delivery
Product delivery may be carried out by the truffle hunter, supplier, an appointed party or another involved operator.
Unless otherwise agreed in writing, Kipify is not responsible for physical delivery of the product, transport, storage, logistics chain, tax documentation or commercial documentation connected to supply.
The merchant must verify the product at the time of delivery and promptly report any disputes to the selling or delivering party.
8. Responsibility of truffle hunters, suppliers and supply chain operators
The truffle hunter, supplier or other operator making the product available remains responsible, within the limits of law and applicable agreements, for harvesting, availability, declared quality, provenance, storage, delivery, traceability, documentation and tax/administrative regularity of the product.
Kipify is not liable for declarations, omissions, errors, conduct, breaches, irregularities or violations attributable to truffle hunters, suppliers, carriers, merchants or other third parties.
9. Lot information, seals and QR codes
The platform may enable management of data relating to lots, seals, QR codes, operational steps, lot statuses and information declared by operators.
Such features have a digital and organizational support nature.
Unless otherwise expressly and documentarily indicated, Tartufido does not issue public certifications, health certifications, official origin certifications, legal quality guarantees or attestations substituting mandatory documentation required by applicable law.
Information displayed on the platform depends on data entered by operators and does not replace verifications that the merchant is required to carry out according to their professional diligence.
10. Merchant obligations
The merchant undertakes to use the platform lawfully and correctly, submit real and non-speculative requests, provide correct, up-to-date and truthful data, verify product, price, quantity and conditions before concluding any agreements and comply with applicable law for their commercial activity.
The merchant further undertakes not to use the platform to circumvent tax, administrative, health or commercial obligations, not to copy, extract or reuse data, information or contacts obtained through Tartufido for unauthorized purposes and not to use Tartufido for unlawful, abusive or prejudicial activities against Kipify or other operators.
11. Account and credentials
The user is responsible for safeguarding their credentials and for all activity carried out through their account.
Kipify may suspend, limit or disable the account in case of improper use, violation of these Terms, entry of false data, abusive requests, prejudicial conduct, security needs or technical necessities.
12. Changes, suspension or interruption of the service
Kipify may modify, update, suspend, limit or discontinue one or more platform features at any time, for technical, operational, commercial, regulatory or security needs.
Kipify does not guarantee uninterrupted service continuity, absence of errors, compatibility with every device or permanent retention of all available features.
13. Limitation of liability
Within the limits permitted by law, Kipify is not liable for damages, losses, lost profits, business interruption, commercial disputes, lack of product availability, price variations, delays, quality discrepancies, declarative errors or breaches attributable to truffle hunters, suppliers, merchants, carriers or other third parties.
Kipify's liability remains limited to cases of wilful misconduct or gross negligence directly attributable to Kipify, as well as other cases mandatorily provided by law.
14. Indemnity
The merchant undertakes to indemnify and hold Kipify harmless from disputes, claims, compensation requests, penalties, damages, costs or expenses arising from improper use of the platform, entry of false, incomplete or misleading data, non-real, abusive or speculative requests, violation of applicable law for their activity, agreements concluded directly with truffle hunters, suppliers or third parties, disputes relating to product, price, quality, origin, provenance, delivery, payment or tax/commercial documentation not directly attributable to Kipify.
15. Intellectual property
The Tartufido platform, software, code, database, layout, texts, graphics, operational flows, trademarks and every digital element are owned by Kipify S.r.l. or licensed to it.
It is prohibited to copy, reproduce, modify, decompile, reverse engineer, extract data on a massive scale or use the platform to create competing services without written authorization from Kipify.
16. Privacy
Processing of personal data takes place according to the Privacy Policy published on the website.
In the preliminary phase, Tartufido may forward to truffle hunters or suppliers a request without the merchant's identifying data, except as necessary for operational management, confirmation of supply, delivery or legal obligations.
17. Changes to the Terms
Kipify may modify these Terms at any time.
Changes will be published on the platform or communicated by appropriate means.
Use of the platform after publication of changes constitutes acceptance of the updated version.
18. Applicable law and competent court
These Terms are governed by Italian law.
For any dispute relating to these Terms, the court of the place where Kipify S.r.l. has its registered office shall have jurisdiction, unless a different mandatory court is provided by law.
19. Specific approval
Pursuant to Articles 1341 and 1342 of the Italian Civil Code, the merchant declares that they specifically approve the following clauses: art. 2 - Role of Kipify S.r.l.; art. 4 - Forwarding the request; art. 5 - No guarantee on availability, price, quality, origin or delivery; art. 6 - Quotes and price indications; art. 7 - Product delivery; art. 8 - Responsibility of truffle hunters, suppliers and supply chain operators; art. 9 - Lot information, seals and QR codes; art. 12 - Changes, suspension or interruption of the service; art. 13 - Limitation of liability; art. 14 - Indemnity; art. 17 - Changes to the Terms; art. 18 - Competent court.
